1. Grant and relationship with the subscription
ONMAKE grants the customer a non-exclusive licence, limited to the duration and features of the entitlement, to access and run Editor Ultra through authorised channels and use the components necessary for browser operation on their device. The software is not sold. This is not a perpetual licence, source-code assignment or self-hosting entitlement unless separately agreed in writing. Mandatory statutory software exceptions and rights remain unaffected.
This EULA supplements document 01, which prevails on sale, conformity, withdrawal and liability. HTML functions within Editor Ultra do not change the separate licence for the free Editor HTML product. Features or licences of other ONMAKE products and of OnFirma are not included merely because the account is shared.
2. Permitted users and uses
Customers may create, import, edit, convert and export documents within their plan, including for lawful professional purposes. An organisation authorises only the number of users allowed by the order; personal accounts cannot be assigned or shared. Professional work for end clients is permitted if the customer has the required rights and does not resell unauthorised standalone access to the software.
Technical copies in browser cache and memory are permitted as needed for the service. Removing access controls, circumventing plan limits, distributing proprietary components without permission, using ONMAKE marks to present oneself as a reseller or licensor, or uploading code intended to compromise users or infrastructure is prohibited.
The components that connect an AI assistant (in-browser assistant, MCP, REST API, ONMAKE Connect) let customers use their own AI provider: the Editor Ultra licence does not include use of the provider's model, credits or service, which remain governed by the chosen provider's terms. Customers are responsible for the instructions they give their assistant and for the personal keys they create, and may revoke them.
3. Software analysis and interoperability
Disassembly, decompilation and reverse engineering of proprietary components are prohibited except to the extent allowed by mandatory law, including activities necessary for interoperability or lawful study of software functioning. Contract terms do not remove those exceptions. Security research must comply with document 10 and does not authorise access to others' data or service disruption.
4. Content ownership and technical permission
Customers retain rights in imported documents, processed outputs and created content, subject to third-party rights. ONMAKE receives only a non-exclusive permission to reproduce, transmit, process and store content to the extent necessary for requested operations, security and contractual return. This permission ends on deletion, subject to temporary backup copies and legally necessary retention. It does not cover advertising, sale of documents, content-based profiling or AI training.
Publishing to a customer's server is authorised only through the relevant command and destination selection. Third-party hosting remains governed by the customer's relationship with that provider; ONMAKE remains responsible for processing within its infrastructure. Exported content does not become ONMAKE property and attracts no ONMAKE royalty for normal use.
5. Third-party and open-source components
Editor Ultra uses proprietary and third-party components. Open-source and font licences apply to their respective components and cannot be restricted by this EULA. Required attribution and licence notices are made available with the relevant service or distribution. Any source-code offer obligations apply to the components and uses covered by the respective licence, are not excluded by this EULA and do not automatically transfer every proprietary component.
Users must respect licences for uploaded or embedded fonts, templates, images and content. ONMAKE grants no rights in external resources merely because the editor can open them. Availability or transferability of all document fonts across formats is not promised.
6. Updates and controls
The service may deliver updated components when a page loads and verify subscription entitlement. These controls do not authorise additional content collection or disproportionate blocking of customer documents. Updates necessary for conformity follow documents 01 and 10. Experimental or future features are not automatically included in the commercial licence.
7. Ending the licence and surviving rights
When entitlement ends, permission to use paid features ends, but ownership of documents and statutory remedies do not. Return, export and erasure remain available under document 12; ONMAKE does not withhold documents to compel renewal. Users need not destroy lawfully created outputs. Confidentiality, intellectual property, erasure duties and provisions intended by their nature to survive remain effective.
8. Warranties and governing rules
This EULA does not waive warranties generally. "AS IS" notices in third-party components or technical files do not override ONMAKE's obligations to customers. Liability, governing law and disputes follow articles 14 and 15 of document 01, preserving all mandatory rights.
