Welcome to the ONMAKE S.r.l. website. Please read these Terms of Use before using the website www.onmake.it (the "Site"). By browsing or using the Site you accept these Terms; if you do not accept them, please do not use the Site. These Terms are written in plain language: under Italian law, clarity does not come from capital letters but from how understandable a text actually is, and that is the standard we followed.
1. Who we are and scope
ONMAKE S.r.l., registered office at Piazza Giuliano della Rovere 8, 00121 Rome (RM), Italy, VAT and tax number IT17261401008, REA registration number RM-1707372, email info@onmake.it, Horizon Europe Participant Identification Code (PIC) 879272506, operates the website www.onmake.it.
These Terms govern only the use of the Site: its informational pages, published content, contact forms, and the pages dedicated to ONMAKE's products and research projects, including LINKALL™, RAPTOR™, xTdC, xMath, OnFirma, ONMAKE Editor HTML and Pro, ExactDOC, Ink/Pad, and the AI Save and Cattura Pagina (Page Capture) browser extensions.
These Terms do not govern the use of ONMAKE's paid apps and services: when you activate an account or subscribe to an ONMAKE product, that product's own contractual terms apply (terms of service, service levels, subscription conditions), made available when you activate it.
The processing of personal data collected through the Site is described in the Privacy Policy and the Cookie Policy, which form an integral part of these Terms as regards data protection.
2. Acceptance and changes to these Terms
By using the Site you accept these Terms in the version published at the time of access.
ONMAKE may update these Terms to reflect changes in the law, new Site features, or organizational needs. Changes are published on this page with an indication of the last-updated date and, when significant, flagged with a visible notice on the Site.
Changes apply from the date of publication and are not retroactive: the Terms in force at the time you used the Site continue to apply to that past use. Continuing to use the Site after a change is published means you accept the new version; if you do not accept it, your only remedy is to stop using the Site.
3. Who may use the Site
The Site is intended for adults with legal capacity under Italian law. If you are under 18, you may use the Site only with the consent and under the supervision of a parent or legal guardian.
If you use the Site on behalf of a company or other organization, for example by filling in a contact form in a professional capacity, you represent that you have the authority to do so, and these Terms bind that organization as well as you personally.
4. License to use the Site
Subject to these Terms, ONMAKE grants you a limited, personal, non-exclusive, non-transferable and revocable license to access the Site and view its content for informational purposes and to evaluate ONMAKE's products and services.
This license does not include any right to resell, commercially exploit, reproduce in full, redistribute, publicly display, or create derivative works from the Site or its content, except as mandatorily allowed by law or expressly authorized in writing by ONMAKE.
5. Prohibited uses
By using the Site you agree not to:
- use the Site for unlawful or fraudulent purposes, or in any way prohibited by applicable Italian or European Union law, or to infringe the rights of third parties;
- infringe or attempt to infringe ONMAKE's or third parties' intellectual property rights available on the Site, including trademarks, patents, copyright, database rights and trade secrets;
- modify, adapt, translate or alter the Site or its code, except as mandatorily allowed by law;
- circumvent, disable or otherwise compromise the Site's security, authentication, or access-restriction measures;
- reverse-engineer, decompile or disassemble the Site, except to the extent mandatorily permitted by Article 64-quater of Italian Law No. 633 of April 22, 1941 on software interoperability, an exception the law does not allow to be excluded by contract;
- use the Site, its content or its features to design, develop or otherwise support a product or service that competes with ONMAKE;
- access the Site or extract its content through robots, spiders, scraping scripts or other automated tools, beyond what is expressly permitted by the Site's robots.txt file for indexing, search and citation purposes;
- use the Site's text, images, videos, source code or any other content to train or fine-tune artificial intelligence models or machine-learning systems, without ONMAKE's written authorization.
Text and data mining reservation
Under Article 4 of Directive (EU) 2019/790 and Article 70-quater of Italian Law No. 633 of April 22, 1941, ONMAKE expressly reserves, through this statement, the right to prohibit text and data mining of the Site's content for purposes other than scientific research carried out by research organizations and cultural heritage institutions under Article 70-ter of the same law. This reservation applies in particular to using the Site's content to train artificial intelligence models, and it stands alongside, without replacing, the technical directions given through the Site's robots.txt file, which governs automated crawler access for indexing and citation purposes by search engines and AI assistants.
6. Content you submit (Feedback and communications)
If you send ONMAKE messages, suggestions, reports or other material through the Site's contact forms, email or other channels ("Submitted Content"), that Submitted Content is not treated as confidential, unless you and ONMAKE have agreed otherwise in writing before you send it.
You grant ONMAKE a free, non-exclusive license, for the maximum term allowed by law, to use, reproduce and adapt the Submitted Content for the purposes for which you sent it and to improve ONMAKE's products and services, without prejudice to your moral rights as an author or to what is described about personal data (see section 16).
If you intend to share confidential information, know-how or material related to a potential collaboration with ONMAKE, contact us first at info@onmake.it: the confidentiality of what you share is protected only if preceded by a non-disclosure agreement (NDA) signed by the parties.
7. Intellectual property
7.1 What is protected
All elements of the Site and of ONMAKE's products are owned by ONMAKE S.r.l. or its licensors, and are protected under Italian and EU law on copyright, trademarks, patents and databases, including, by way of example and not limitation (the "Materials"):
- the visual interfaces, graphics, design and layout of the Site and of the applications;
- compilations of content and databases;
- data;
- the source code and object code of the Site and of the applications;
- the xTdC, xMath, OnFirma, ONMAKE Editor HTML and Pro, ExactDOC, and Ink/Pad applications;
- the AI Save and Cattura Pagina (Page Capture) browser extensions;
- the LINKALL™ and RAPTOR™ architectures;
- text, images, videos, logos and trademarks;
- technical documentation and user documentation.
7.2 Ownership
The Materials are protected, among other laws, by Italian Law No. 633 of April 22, 1941 (the Italian Copyright Law, "LDA"), including the protection of software (Articles 64-bis et seq.) and of databases (Article 64-quinquies for authorial database rights, Article 102-bis for the sui generis right of the database maker), and by Legislative Decree No. 30 of February 10, 2005 (the Italian Industrial Property Code, "CPI"), for trademarks, patents, designs and trade secrets (Articles 98-99 CPI).
The Materials are owned by ONMAKE S.r.l. or its licensors. Use of the Materials is permitted only to the extent expressly authorized by these Terms or by ONMAKE's written authorization. All rights not expressly granted are reserved to ONMAKE or its licensors.
7.3 What you may not do
- copy, reproduce, modify, distribute, communicate to the public or make available to the public the Materials, in whole or in part, beyond what is permitted by these Terms;
- decompile or attempt to decompile ONMAKE's software, except to the extent mandatorily permitted by Article 64-quater LDA, which governs the software interoperability right and which the law does not allow to be excluded by contract;
- frame the Site or its content within another site in a way that alters its presentation or attribution;
- extract or re-utilize a substantial part, assessed qualitatively or quantitatively, of the content of the Site's databases, under Article 102-bis LDA;
- use the ONMAKE, LINKALL™, RAPTOR™, xTdC trademarks or the other distinctive signs of ONMAKE's apps without written authorization.
7.4 Trademarks
ONMAKE, LINKALL™, RAPTOR™, xTdC, xMath, OnFirma, ONMAKE Editor, ExactDOC and AI Save are trademarks owned by ONMAKE S.r.l. Unless otherwise indicated, these are trademarks not yet registered, for which we conventionally use the ™ symbol; the absence of the ® symbol does not reduce the protection the law gives to distinctive signs used in business activity (Articles 2563 et seq. of the Italian Civil Code and the CPI).
7.5 Third-party materials
Some content on the Site and in ONMAKE's applications includes third-party materials, such as open-source libraries, fonts and licensed images: these remain subject to their own licenses and terms of use, referenced where applicable in each product's technical documentation.
8. Patents
ONMAKE has filed the following provisional patent applications with the United States Patent and Trademark Office (USPTO), currently in Patent Pending status (application filed, not yet examined or granted):
| Product | USPTO application | Inventor | Owner |
|---|---|---|---|
| LINKALL™, Cognitive Multi-AI Unified Interaction System | Provisional Patent Application No. 63/927,664 | Massimiliano Tulli | ONMAKE S.r.l. |
| RAPTOR™, multi-AI cyber-physical control architecture | Provisional Patent Application No. 63/999,217 | Massimiliano Tulli | ONMAKE S.r.l. |
| xTdC, verified structural engineering calculation system | Provisional Patent Application No. 64/114,486 | Massimiliano Tulli | ONMAKE S.r.l. |
The "Patent Pending" designation refers solely to the filing of the application in the United States with the USPTO: it does not mean a patent has been granted, in the United States or elsewhere.
ONMAKE is evaluating extending patent protection and other industrial-property rights, including through the routes provided by international treaties, in Italy and other countries. As of the last update of these Terms, no application number has yet been filed with the Italian Patent and Trademark Office (UIBM) for Italy; this page will be updated once that number is available.
9. Third-party links and services
The Site may contain links to third-party websites, such as partners, research institutions or press articles, and may embed third-party services, such as Google Analytics 4, Google Maps and Google Fonts, as described in the Cookie Policy. ONMAKE does not control these third-party sites and services and is not responsible for their content, privacy practices, or availability. Access to third-party sites is at your own risk and subject to the terms of use and privacy notices published by each third party.
10. Availability and changes to the Site
ONMAKE strives to keep the Site available and functioning, but does not guarantee that it will always be accessible, uninterrupted, timely, secure or error-free: interruptions may occur due to maintenance, technical updates, or force majeure.
ONMAKE may modify, temporarily suspend, or discontinue the Site or its content, in whole or in part, with or without notice, except as otherwise provided by mandatory consumer-protection law.
11. Term and termination
These Terms remain in effect for as long as you use the Site. ONMAKE may suspend or block your access to the Site, in whole or in part, if you breach these Terms or use the Site in a way that could harm ONMAKE, other users or third parties, giving prior notice where possible.
Provisions that by their nature are meant to survive termination of your use of the Site, including those on intellectual property, patents, submitted content, indemnity, limitation of liability, governing law and jurisdiction, remain in effect after termination.
12. Disclaimer and limitation of liability
The Site and its content are provided "as is" and "as available." To the extent permitted by applicable law, ONMAKE makes no warranties, express or implied, that the Site will meet your specific needs, be error-free, be provided without interruption, or that the informational content it publishes is accurate; that content does not constitute legal, technical, engineering or financial advice.
To the extent permitted by applicable law, ONMAKE is not liable for indirect damages arising from the use, or the inability to use, the Site.
This limitation of liability never applies to damages caused by ONMAKE's willful misconduct or gross negligence, which cannot be excluded or limited under Article 1229 of the Italian Civil Code, and it does not affect in any way the rights that the law mandatorily grants to consumers under Legislative Decree No. 206 of September 6, 2005 (the Italian Consumer Code).
13. Indemnity
If you use the Site in the course of a business, trade, craft or profession (a professional user, not a consumer within the meaning of Article 3 of the Italian Consumer Code), you agree to indemnify and hold ONMAKE harmless from claims, damages, costs and expenses, including reasonable legal fees, arising from a use of the Site that does not comply with these Terms or from an infringement of third-party rights attributable to you.
This indemnity obligation does not apply if you use the Site as a consumer.
14. Artificial intelligence and transparency
Some visual and textual content on the Site may be generated or assisted by artificial intelligence systems, with human review. ONMAKE product pages that incorporate artificial-intelligence features, including LINKALL™, provide information about how those systems work and their limits on the AI Transparency page, consistent with the transparency obligations that apply to the Site, to the extent applicable, under Regulation (EU) 2024/1689 (the Artificial Intelligence Act, "AI Act"), including the obligation to make artificially generated or manipulated content and interactions with AI systems recognizable, where required by that regulation.
These Terms are not a statement of ONMAKE products' compliance with the AI Act: for the use of the Site, they refer to the AI Transparency page and to each product's own documentation.
15. Digital Services Act
Regulation (EU) 2022/2065 (the Digital Services Act, "DSA") sets obligations for providers of intermediary services that host, transmit or cache third-party content, such as hosting providers, online platforms and search engines. The Site publishes only ONMAKE's own content, does not host content uploaded by third parties, and does not operate as a platform, marketplace or search engine: based on this assessment, the DSA obligations reserved for such providers do not apply to the Site in its current configuration. If the Site were to offer features that fall within the scope of the DSA in the future, this section will be updated accordingly.
16. Personal data
The processing of personal data of the Site's users is governed by Regulation (EU) 2016/679 (the GDPR) and is described in the Site's Privacy Policy, which we invite you to read. For information on cookies and other tracking tools used by the Site, see the Cookie Policy.
17. Complaints, mediation and governing law
17.1 Complaints
If you believe ONMAKE has not complied with these Terms or has otherwise harmed your rights in connection with the Site, please write first to info@onmake.it: we aim to respond within 30 days.
17.2 Mediation
Before going to court, the parties may pursue mediation aimed at settling civil and commercial disputes, governed by Legislative Decree No. 28 of March 4, 2010, before a mediation body listed in the register kept by the Italian Ministry of Justice. For certain matters, mediation is a condition for a claim to be admissible in court under the same decree.
17.3 No mandatory arbitration
These Terms do not include mandatory arbitration, a class-action waiver, or a jury-trial waiver: those are features of other legal systems that, if applied to consumers, would be void under Articles 33 and 36 of the Italian Consumer Code. The class action under Article 840-bis of the Italian Code of Civil Procedure can never be excluded by contract.
17.4 Governing law
These Terms are governed by Italian law, without prejudice to any more favorable consumer-protection provisions of the law of the country where a consumer habitually resides, if different from Italy, where legally applicable.
17.5 Jurisdiction
For disputes with professional users, the Court of Rome has exclusive jurisdiction. For disputes with consumers, the competent court is that of the consumer's place of residence or domicile, if located in Italy, under Article 66-bis of the Italian Consumer Code, which cannot be derogated from to the consumer's disadvantage. For users resident in another EU Member State, applicable EU rules on jurisdiction over consumer contracts remain unaffected.
18. Final provisions
Severability
If a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, the remaining provisions remain in full force; the invalid provision will be replaced by a valid one that reflects, as closely as possible, the parties' original intent.
No waiver
ONMAKE's failure to exercise a right under these Terms does not constitute a waiver of that right.
Assignment
You may not assign these Terms to a third party without ONMAKE's written consent. ONMAKE may assign these Terms, in whole or in part, in connection with a corporate transaction such as a merger, demerger, or transfer of business, and will announce this on the Site.
Entire agreement
These Terms, together with the Privacy Policy, the Cookie Policy, and any additional terms for individual ONMAKE applications, extensions or services, form the entire agreement between you and ONMAKE regarding use of the Site.
Language
These Terms are drafted in Italian and translated into other languages, including English, for users' convenience. In the event of any conflict between versions, the Italian-language version prevails.
